If your company has added a director after a funding round, moved into a co-working space, or wants to sell through a marketplace warehouse in another State, the GST registration rules that govern each of those steps changed on 1 November 2026.

The Central Goods and Services Tax (Amendment) Rules, 2026, made by CBIC Notification No. 05/2026-Central Tax dated 26 October 2026, insert a new rule 14B and substitute rules 19 (amendment of registration) and 20 (cancellation on request). They come into force on 1 November 2026, save as otherwise provided. On the same day CBIC issued Circular No. 257/03/2026-GST on the documents an applicant furnishes for a new registration.

1. Amendments: only the principal place of business waits for an officer

You still file FORM GST REG-14 within fifteen days of the change, with the supporting documents (rule 19(1)). What happens next now depends on what changed:

  • Principal place of business: the application goes to the proper officer, who approves it within fifteen days and issues REG-15, or issues REG-03 within fifteen days. You reply in REG-04 within seven working days, and the officer decides within seven working days of the reply. If the officer takes no action within either period, the certificate is deemed to have been amended (rule 19(2)).
  • Every other particular: the certificate stands amended to the extent applied for, on submission of REG-14 and completion of the online validation on the common portal (rule 19(4)).

Under the earlier rule 19, a change of legal name, of the address of the principal or any additional place of business, or of directors went to the officer for approval within fifteen working days. A board change after a round is now a filing, not an approval. A change in legal name or in directors applies to all registrations on the same PAN (rule 19(5)), so a multi-State company files it once for every GSTIN to reflect it.

2. Closing a registration: clean returns first

If you are winding down a State registration or an entity, the substituted rule 20 sets the order of steps:

  • REG-16 is filed within thirty days of the event warranting cancellation, with details of stock and capital goods and the liability on them (rule 20(1)).
  • No REG-16 can be filed until all returns due on that date for periods up to the cancellation date are filed, and GSTR-3B is filed for every period for which GSTR-1 or IFF has been filed (rule 20(2)).
  • On filing, the registration stands suspended until the proceedings are complete (rule 20(4)).
  • The common portal cancels the registration electronically, in REG-38, where the returns were filed in time, all dues are paid, and either the output tax on supplies to registered persons did not exceed Rs 2,50,000 in any month or GSTR-10 was filed within 3 days from the due date of the returns under rule 20(3) (rule 20(5)). Otherwise the application goes to the officer (rule 20(6)).

3. A new State through a marketplace warehouse

For a D2C brand selling on a marketplace, rule 14B allows a person registered in its home State to take registration on the same PAN in a State where it has no physical presence, by declaring as principal place of business the warehouse of an e-commerce operator that collects tax at source under section 52. The conditions: the supplies are made through such operators, the total output tax on supplies to registered persons (other than persons on the same PAN) does not exceed Rs 2,50,000 a month, and the operator consents, which it may do within seven working days.

Check three limits before applying: a person who has not opted for Aadhaar authentication is not eligible, other than a person notified under section 25(6D) (rule 14B(28)); only one rule 14B registration per State on the same PAN (rule 14B(29)); and the registration is deemed cancelled if the operator withdraws consent and no amendment is filed within thirty days, or if the home-State registration is cancelled (rule 14B(24)). Books and records stay at the home-State principal place of business (rule 14B(21)).

4. New registrations: get the premises proof right

  • Co-working space: upload the membership agreement showing the period and the specific suite, cabin or desk, plus the provider’s ownership document or its registered lease with the property owner (Circular para 3.8.5).
  • A director’s or parent’s flat: it is not “own” premises of the company; select consent, rented or shared, and upload the owner’s consent letter with a document in the owner’s name (paras 3.8.2.1 and 3.8.4).
  • Officers are told not to seek unwarranted documents, such as an Udyam certificate or a query on a director’s residential address being in another State (para 5.4.1). An applicant aggrieved by delay or such queries may complain to the jurisdictional Chief Commissioner of Central Tax or Commissioner of State Tax (para 8).

Your checklist

  1. After any REG-14 for a change other than the principal place of business, confirm the amended certificate on the portal.
  2. For an office move, diarise the fifteen-day and seven-working-day limits in rule 19(2).
  3. Before closing a registration, file every pending return, including each GSTR-3B, and keep within thirty days of the event.
  4. Before a marketplace expansion, test the Rs 2,50,000 a month limit, operator consent and Aadhaar authentication.
  5. For a new registration, match the REG-01 address to the uploaded proof and choose the right nature of premises.

Some pieces come later: rule 19(3) for rule 14A registrants and the amended REG-16 from 1 December 2026, and forms REG-34 to REG-37 for a change in the effective date of cancellation from 1 April 2027.
